TruePOS Retail ERP – Registration Terms & Conditions

By registering for, accessing, or using TruePOS Retail ERP (“TruePOS”, “Software”, “Service”), you (“User”, “You”, “Customer”) agree to be bound by these Registration Terms & Conditions (“Terms”). If you do not agree, you must not register for or use the Software.

1. Eligibility & Registration

1. You must be at least 18 years old and legally capable of entering into binding agreements to register for TruePOS.

2. You agree to provide accurate, current, and complete information during registration and to keep such information updated.

3. You are responsible for maintaining the confidentiality of your login credentials and all activities conducted under your account.

2. License & Permitted Use

1. Upon successful registration, TruePOS grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for internal business operations.

2. The Software may only be used in accordance with applicable laws and these Terms.

3. You may not:

   • Copy, modify, reverse engineer, or distribute the Software.

   • Use the Software for unlawful, fraudulent, or abusive purposes.

   • Provide access to unauthorized third parties without written consent.

3. Subscription, Fees & Payments

1. Certain features of TruePOS may require a paid subscription or license fee.

2. All fees are non-refundable, unless otherwise stated in writing.

3. Failure to make timely payments may result in suspension or termination of access.

4. TruePOS reserves the right to revise pricing with prior notice.

4. Data Ownership & Privacy

1. You retain ownership of your business data entered into the Software.

2. By using TruePOS, you grant permission to store, process, and back up your data solely for providing the Service.

3. TruePOS will implement reasonable security measures but does not guarantee absolute data security.

4. You are responsible for maintaining your own data backups unless otherwise agreed.

5. Acceptable Use Policy

You agree not to:

• Upload malicious code or attempt to breach system security.

• Use the Software to violate intellectual property or privacy rights.

• Interfere with or disrupt the operation of TruePOS services.

6. Intellectual Property

1. TruePOS Retail ERP, including all software, trademarks, logos, designs, and documentation, is the exclusive property of TruePOS.

2. No rights are granted except those expressly stated in these Terms.

7. Service Availability & Updates

1. TruePOS strives for high availability but does not guarantee uninterrupted service.

2. Maintenance, updates, or upgrades may be performed without prior notice.

3. Features may be added, modified, or discontinued at TruePOS’s discretion.

8. Termination

1. You may terminate your account at any time by written notice.

2. TruePOS may suspend or terminate access immediately if you breach these Terms.

3. Upon termination, your right to use the Software ceases, and access to data may be restricted or deleted after a reasonable period.

9. Disclaimer of Warranties

The Software is provided “AS IS” and “AS AVAILABLE”.
TruePOS disclaims all warranties, express or implied, including but not limited to:

• Merchantability

• Fitness for a particular purpose

• Accuracy or reliability of data

10. Limitation of Liability

To the maximum extent permitted by law:

• TruePOS shall not be liable for indirect, incidental, or consequential damages.

• Total liability shall not exceed the amount paid by you in the last 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless TruePOS from any claims, losses, or damages arising from:

• Your misuse of the Software

• Violation of these Terms

• Violation of any applicable laws

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Insert Country/State], and disputes shall be subject to the exclusive jurisdiction of its courts.

13. Changes to Terms
